Do You Need an MoR to Sell on TikTok Shop?

Updated October 2026
Yes. If you are a US or EU brand without a registered entity in your target TikTok Shop market, you need a merchant of record (MoR) to sell. TikTok Shop requires a local company, a local VAT number and a local bank account in every market. Without those, you cannot open a seller account. An MoR provides all three through a single licensed entity, typically in 7 to 10 business days versus 8 to 12 weeks DIY.
TL;DR
TikTok Shop is a local-seller-only marketplace. Your US LLC or German GmbH cannot register directly on TikTok Shop UK.
You need a UK Ltd company, UK VAT registration, UK EORI number, a UK bank account and a licensed Importer of Record.
A merchant of record provides all five through one licensed entity. You keep your brand, pricing and customer relationships.
DIY entity setup costs £15,000 to £40,000 in year one and takes 8 to 12 weeks. An MoR charges 2.5% to 5% of GMV and gets you live in days.
Not every brand needs an MoR permanently. But almost every cross-border brand needs one to launch.
CRSSBRDR™ is the only MoR built by a licensed accountant and a founding TikTok Shop Partner agency. We get US and EU brands live on TikTok Shop UK in 7 to 10 business days. £100M+ in ecommerce sales driven. Compliance built in, growth switched on.
Why can't you just register on TikTok Shop from overseas?
Because TikTok Shop is not a global marketplace with local fulfilment. It is a collection of local marketplaces, each with its own seller eligibility rules.
Unlike Amazon, which allows overseas sellers to register with a VAT number and import mechanism, TikTok Shop requires sellers to be domiciled in the market they sell into. For TikTok Shop UK, that means a UK-registered company (Ltd or LLP), a UK bank account, a UK business address matching Companies House, and an active UK VAT registration, according to TikTok's Seller Centre documentation.
Your Delaware C-Corp, French SAS or Dutch BV does not exist in TikTok's UK system. The platform will reject your application at the first screen.
TikTok mandates local domicile for three reasons: UK consumer protection law requires a named UK entity for returns and product safety liability; HMRC requires UK VAT registration for any entity making taxable supplies; and TikTok reduces its own regulatory exposure by ensuring every seller is locally registered.
The result: cross-border brands face a compliance wall before they can list a single product.
What does a merchant of record do on TikTok Shop?
A merchant of record is the legal entity named on the customer invoice. When you sell through an MoR on TikTok Shop, the MoR's UK company operates the seller account. Your brand name, product listings, pricing, creator partnerships and customer relationships remain yours.
The MoR handles five layers of cross-border complexity:
1. Entity and seller account. The MoR's UK Ltd company opens and operates your TikTok Shop. Your brand is the storefront. The MoR is the legal infrastructure underneath.
2. UK VAT registration and returns. The MoR holds the UK VAT registration, charges 20% VAT at checkout and files quarterly returns with HMRC via Making Tax Digital. Non-resident sellers have no VAT threshold; the obligation starts from the first sale, per HMRC NETP guidance.
3. Importer of Record. Physical goods shipped from outside the UK need a named Importer of Record (IoR) to clear customs. The MoR acts as IoR, holds a UK EORI number and manages customs declarations and duty payments.
4. Product compliance. UK regulations require a UK-based Responsible Person for cosmetics, electronics, toys and PPE. The MoR provides this, along with labelling checks and marking verification.
5. Consumer law liability. The MoR is the named seller under the Consumer Rights Act 2015. Returns, refunds and warranty claims route through the MoR's UK entity.
You keep control. The MoR handles the compliance engine.
When do you need an MoR versus doing it yourself?
Not every brand needs a merchant of record permanently. The decision depends on three variables: your current UK infrastructure, your revenue forecast and your launch timeline.
You need an MoR if:
You have no UK entity. Setting up a UK Ltd, opening a UK bank account (2 to 6 weeks for non-resident directors), registering for VAT (4 to 8 weeks through HMRC) and obtaining an EORI takes 8 to 12 weeks end to end. An MoR gets you live in days.
Your annual UK revenue is under £2M. At 2.5% to 5% MoR fee, the cost is lower than maintaining your own UK entity, accountant, IoR contract and compliance infrastructure.
You want to validate the market before committing. An MoR lets you test TikTok Shop UK with zero upfront capital risk. If the market works, you graduate to your own entity with real sales data, not assumptions.
You can go DIY if:
You already have a UK Ltd company, active VAT registration, EORI number and a licensed IoR.
Your annual UK revenue exceeds £2M to £5M, where the fixed costs of maintaining your own entity become cheaper than MoR percentage fees.
You have in-house compliance staff who can handle quarterly VAT returns, customs declarations and product compliance filings.
The smart sequence: start with an MoR, validate demand, graduate to your own entity once revenue justifies the fixed costs. This is not a workaround. It is how the EU designed the OSS scheme and how HMRC's marketplace rules expect cross-border sellers to operate.
DIY entity | Merchant of record | |
|---|---|---|
Setup cost | £15,000 to £40,000 year one | 2.5% to 5% of GMV |
Time to first sale | 8 to 12 weeks | 7 to 10 business days |
VAT liability | Yours | MoR's |
IoR liability | Yours (or subcontracted) | MoR's (in-house) |
Upfront capital risk | High | Zero |
Breakeven point | Favourable above £2M to £5M annual revenue | Favourable below £2M annual revenue |
Market exit cost | Company dissolution, deregistration | Cancel the agreement |

What happens if you sell on TikTok Shop without an MoR or local entity?
You cannot. TikTok Shop's seller registration process requires a local company registration number, a local bank account and a local VAT number before the account is approved. Without these, your application is rejected at submission.
But some brands try workarounds. Common mistakes include:
Using a nominee company. Some formation agents offer nominee UK Ltd companies. TikTok's trust and safety teams verify beneficial ownership and director identity. Nominee structures with no genuine business substance are flagged and deplatformed.
Borrowing someone else's seller account. Account sharing violates TikTok Shop's Merchant Terms of Service. If detected, both accounts face permanent suspension.
Selling via cross-border pilot without compliance. TikTok's Sell Across programme (launched in stages from September 2025) lets EU sellers list products to UK shoppers. But it does not remove VAT, EORI or IoR obligations. HMRC still classifies you as a Non-Established Taxable Person. First sale, first liability.
The penalties for non-compliance are real. HMRC can backdate VAT registration to the date of your first UK supply, applying back-VAT, penalties of up to 15% and daily interest at the current rate of 7.75%.
Does TikTok handle VAT so you don't need an MoR?
This is the most common misconception in cross-border TikTok Shop selling.
TikTok does collect and remit VAT on certain transactions under UK marketplace rules. For consignments valued at £135 or less shipped from outside the UK, the online marketplace (TikTok) is deemed the supplier for VAT purposes and must charge and remit VAT, per HMRC's marketplace guidance.
But VAT collection and seller eligibility are completely different things.
TikTok handling VAT on qualifying orders does not give you a UK entity. It does not give you a UK bank account. It does not give you an EORI number. It does not give you an Importer of Record.
You still need all four to open and maintain a TikTok Shop seller account in the UK. An MoR provides them.
How much does a merchant of record cost for TikTok Shop?
MoR fees typically range from 2.5% to 5% of gross merchandise value (GMV), depending on the provider, the product category and the volume of transactions.
At £500,000 in annual UK revenue with a 3.5% MoR fee, the annual cost is £17,500. Compare that with the DIY route: £15,000 to £40,000 in year-one setup costs (company formation, registered office, UK bank account, VAT registration, EORI, IoR contract, accounting and compliance filings), plus ongoing annual costs of £5,000 to £15,000 for accounting, filings and IoR renewal.
The MoR is cheaper below approximately £2M in annual revenue. Above that, the maths shifts in favour of your own entity, assuming you have the in-house compliance capability to manage it.
How do you evaluate an MoR for TikTok Shop?
Five checks before you sign:
Company registration. Ask for the Companies House number. Verify it. A dormant shell with zero filed revenue is not a trading MoR.
VAT number. Ask for it. Verify on GOV.UK. If the VAT number belongs to a parent company in a different jurisdiction, that is a red flag.
IoR status. Does the MoR act as Importer of Record directly, or subcontract it? Subcontracted IoR means no direct accountability when goods are held at the border.
Professional qualifications. Who files the VAT returns? Are they AAT, ACCA or equivalent qualified? Is professional indemnity insurance current?
Audit readiness. Can they produce a transaction-level audit pack on request? HMRC expects records to be available within 30 days.
A real MoR has a real entity, a real VAT number, a real IoR licence and qualified accountants behind the filings.
What is the difference between an MoR and TikTok's cross-border programme?
TikTok launched its Sell Across programme in stages from September 2025, allowing sellers registered in one TikTok Shop market to list products in another. For EU sellers targeting the UK, this means you can show products to UK shoppers from your EU-registered TikTok Shop account.
But Sell Across is a listing feature, not a compliance solution.
Sell Across gives you: product visibility in the UK market, Ship by Seller logistics (you arrange the courier), and the ability to test demand before committing to a full UK shop.
Sell Across does not give you: a UK entity, UK VAT registration, UK EORI, a licensed IoR, or access to Fulfilled by TikTok (FBT) warehousing in the UK.
For brands testing demand with small volumes, Sell Across is a useful signal. For brands scaling UK revenue, a full UK shop through an MoR is faster, cheaper per order (FBT rates are lower than Ship by Seller courier costs at volume) and fully compliant.
FAQ
Do I need a merchant of record if I already have a UK company? No. If you have an active UK Ltd, UK VAT registration, UK EORI and a licensed IoR, you can register on TikTok Shop directly. The MoR is for brands without existing UK infrastructure.
Can I use a merchant of record for TikTok Shop in the US? US TikTok Shop has different rules. The marketplace facilitator model means TikTok handles sales tax in most states. Non-US sellers still need a US entity (LLC or Corp), an EIN and a US bank account. MoR services exist for US entry but the compliance stack is different from the UK.
How long does it take to go live on TikTok Shop UK through an MoR? CRSSBRDR gets brands live in 7 to 10 business days. Typical MoR providers take 4 to 8 weeks. DIY entity setup takes 8 to 12 weeks.
Does using an MoR mean I lose control of my brand on TikTok Shop? No. You control the brand name, product listings, pricing, creator partnerships and customer communication. The MoR operates the legal and compliance infrastructure. Your brand is the storefront. The MoR is the engine underneath.
Can I switch from an MoR to my own entity later? Yes. The standard path is: launch through an MoR, validate the market with real sales data, then graduate to your own UK entity once annual revenue exceeds £2M to £5M and justifies the fixed costs.
What happens to my seller account if I leave my MoR? You would need to open a new TikTok Shop seller account under your own UK entity. Product reviews, ratings and seller history do not transfer between accounts. Plan the transition carefully to avoid losing momentum.
Is using a merchant of record legal? Yes. The MoR model is a standard commercial structure recognised by HMRC, TikTok and UK company law. HMRC's own guidance on marketplace sellers and VAT explicitly accommodates third-party entity structures.
What is the difference between a merchant of record and a reseller? A reseller buys your product at wholesale and resells it at their own price. An MoR sells on your behalf at your price and charges a percentage fee. You keep control of pricing, brand and customer data with an MoR. Read the full comparison.
